Terms of Service

These terms explain the rules for using Resolentra. Resolentra LLC is a Pennsylvania company. Resolentra helps employers track their staff's compliance documents and send renewal reminders by email and text message. In these terms, we call those employers "agencies."

Who may use Resolentra

Resolentra is for agencies that have a written agreement with Resolentra LLC. Each agency's office staff use Resolentra under that agreement. Staff of the agency may receive reminders and upload documents through the secure links their agency sends them.

If an agency's written agreement with us says something different from these terms, the written agreement applies.

The agency's responsibilities

• The agency owns the information it puts into Resolentra and allows Resolentra to process it only to provide the service, keep it secure and give support.
• The agency is responsible for the staff information and documents it puts into Resolentra, and for having the right to share them with us.
• The agency records each staff member's consent before Resolentra sends that person text messages.
• The agency keeps its sign-in details private and tells us promptly if it thinks someone has used its account without permission.

Acceptable use

When using Resolentra, you agree not to:

• Break any law, or use Resolentra to send messages someone has not agreed to receive.
• Use Resolentra for marketing or for any purpose other than tracking staff documents and renewal reminders.
• Upload patient or client records. Resolentra is for employee compliance records only.
• Upload anything you do not have the right to share, or anything harmful, such as viruses.
• Try to access another agency's data, or any part of Resolentra you are not allowed to use.
• Interfere with, overload or try to break the security of Resolentra.
• Copy, resell or reverse engineer Resolentra.

We may suspend access that breaks these rules.

Text messages

• Resolentra sends these text messages on behalf of the employer (the agency), about the staff member's documents due for renewal. Messages are sent only after the agency records the staff member's consent.
• Message frequency varies. Usually no more than one message per day.
• Message and data rates may apply.
• Reply STOP to opt out at any time. Reply HELP for help.
• Mobile numbers and text messaging consent are not shared with third parties or affiliates for marketing purposes.

No guarantee of regulatory compliance

Resolentra supports an agency's own processes for keeping staff documents current. It does not replace them. The agency remains responsible for meeting its legal and regulatory requirements, including checking that documents are valid and that staff are qualified to work. Using Resolentra does not guarantee that an agency will pass an inspection, audit or survey.

Availability

We work to keep Resolentra running and reminders on time. But no online service is available all the time, and messages can be delayed or not delivered for reasons outside our control, such as mobile carrier or email problems. Resolentra is provided "as is" and "as available."

Limitation of liability

To the fullest extent the law allows:

• Resolentra LLC is not liable for indirect, incidental or consequential losses, such as lost profits, lost data, fines or penalties.
• Resolentra LLC's total liability for any claim relating to Resolentra is limited to the amount the agency paid us for Resolentra in the 12 months before the claim.

An agency's written agreement with us may set different limits. If it does, those limits apply.

Pennsylvania law

These terms are governed by the laws of the Commonwealth of Pennsylvania. Any dispute relating to them will be handled in the state or federal courts located in Pennsylvania.

Changes to these terms

If we change these terms, we will update them on this page and change the effective date at the top. For material changes, we will give agencies notice by email before the new terms take effect.
